END-USER LICENSE AGREEMENT

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE USING Visual SEO Studio SOFTWARE. BY USING THE Visual SEO Studio SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT INSTALL AND/OR USE THE Visual SEO Studio SOFTWARE AND CLICK “EXIT”. 

IMPORTANT NOTE: To the extent that this Software may be used to reproduce, modify, publish or distribute materials, it is licensed to you only for reproduction, modification, publication and distribution of non-copyrighted materials, materials in which you own the copyright, or materials you are authorized or legally permitted to reproduce, modify, publish or distribute. If you are uncertain about your right to copy, modify, publish or distribute any material, you should contact your legal advisor.

1. General.
A. The Software Visual SEO Studio - henceforth the Software - Free Edition is provided free of charge, even for professional usage.
The Software Visual SEO Studio has been created and is owned by aStonish Studio s.r.l. who holds the Software copyright, henceforth “the Author”.
The Free Edition of the Software cannot be sold. It can be redistributed but without altering or representing it as by someone else who is not the original author. 
B. The Visual SEO Studio Software any third party Software, documentation, interfaces, content, fonts and any data accompanying this License whether on disk, in read only memory, on any other media or in any other form are licensed, not sold, to you by the Author for use only under the terms of this License.  The Author retains ownership of the Visual SEO Studio Software itself and reserves all rights not expressly granted to you. 
C. The software has been engineered in order to try to prevent any usage that could be considered unethical (or illegal), such as: abusing other parties bandwidth and computing resources, performing DOS attacks, not respecting the de-facto standard Robots Exclusion Protocol and its commonly accepted extensions or spoofing user-agent (except when the User demonstrates implicit permission from a website owner), nor the Author encourages such or similar behaviours (e.g. violating copyright).
D. The Author, at its discretion, may make available future upgrades or updates to the Visual SEO Studio Software.  The terms of this License will govern any Software upgrades or updates provided by the Author that replace and/or supplement the original Visual SEO Studio Software product, unless such upgrade or update is accompanied by a separate license in which case the terms of that license will govern. 
E. Title and intellectual property rights in and to any content displayed by or accessed through the Visual SEO Studio Software belong to the respective content owner. Such content may be protected by copyright or other intellectual property laws and treaties, and may be subject to terms of use of the third party providing such content. This License does not grant you any rights to use such content nor does it guarantee that such content will continue to be available to you.
F. User accepts as his/her own duty to regularly read it every time an update is provided. By continuing to access or use the Software after revisions become effective, the user agrees to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Software and related services. 
G. The Author does not ensure that the Software is free of bugs, viruses and faults. 
H. Author’s failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable the remaining provisions of the Agreement will remain in full effect and an enforceable term will be substituted reflecting Author’s intent as closely as possible. User can not assign any of his/her rights to these Terms, and any such attempt is void, but the Author may assign its rights to any affiliate or subsidiary or similar entity, or to any successor in the interest of any business associated with the Software and related services. 

2. Permitted License Uses and Restrictions.
A. Other Use Restrictions. The User accepts that the normal Software behaviour is to always check for the existence of a newer version of the Software, and to force its update if in case.
The Software regularly contacts a central server - henceforth the server - via Internet to check for updates, and to track anonymously the program usage.
During these contacts it sends to the server a hardware signature that binds the license to the single machine, along with other information describing the general machine configuration (e.g. OS type, version, language, to name a few).
Such information serve the purpose to better understand the user base and make decisions to improve the product and services.
No personal/sensitive information is tracked. The User accepts usage tracking as a normal behaviour. Even if every effort is put into making the Software stable, it might happen that it crashes; in such cases the Software before shutting down attempts to make an Internet call to the server submitting all possible information about the crash causes, along with the above mentioned hardware signature. This is to enable the Author to know about the problem and fix it as soon as possible, in the best interest of both the Author and the User.
The User accepts crash information submissions to the server as a normal behaviour.
The Software might notify the User by general or personalized messages provided by the central Server. The User accepts notifications from the Server as a normal behaviour.
B. You may not make the Visual SEO Studio Software available over a network where it could be run or used by multiple computers at the same time. You may not rent, lease, lend, sell, redistribute or sublicense the Visual SEO Studio Software.
C. Any copy of the Visual SEO Studio Software that may be provided by the Author for promotional, evaluation, diagnostic or restorative purposes may be used only for such purposes and may not be resold or transferred.
D. No Reverse Engineering. You may not, and you agree not to or enable others to, copy (except as expressly permitted by this License), decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, modify, or create derivative works of the Visual SEO Studio Software or any services provided by the Visual SEO Studio Software and/or by the Author or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or by licensing terms governing use of Open-Sourced Components that may be included with the Visual SEO Studio Software).
E. Compliance with Laws. You agree to use the Visual SEO Studio Software and the Services in compliance with all applicable laws, including local laws of the country or region in which you reside or in which you download or use the Visual SEO Studio Software and Services.

3. Consent to Use of Data.   
A. Diagnostic and Usage Data. If you agree to use the Visual SEO Studio Software, you agree that the Author and its agents and subsidiaries may collect, maintain, process and use diagnostic, technical, usage and related information, including but not limited to unique system or hardware identifiers, information about your computer, system and application Software, and peripherals, that is gathered periodically to provide and improve the Author’s products and services, facilitate the provision of Software updates, product support and other services to you (if any) related to the Visual SEO Studio Software, and to verify compliance with the terms of this License. The Author may use this information, as long as it is collected in a form that does not personally identify you, for the purposes described above. To enable the Author’s partners and third party developers to improve their Software, hardware and services designed for use with the Author’s products, the Author may also provide any such partner or third party developer with a subset of diagnostic information that is relevant to that partner’s or developer’s Software, hardware and/or services, as long as the diagnostic information is in a form that does not personally identify you.  
B. Location Data. The Author and its partners, licensees and third party developers may provide certain services through the Visual SEO Studio Software that rely upon location information. To provide and improve these services, where available, the Author and its partners, licensees and third party developers may transmit, collect, maintain, process and use your location data, including the real-time geographic location of your computer, and location search queries. The location data and queries collected by the Author  are collected in a form that does not personally identify you and may be used by the Author and its partners, licensees and third party developers to provide and improve location-based products and services. By using any location-based services provided by or through the Visual SEO Studio Software, you agree and consent to the Authors’ and its partners', licensees' and third party developers’ transmission, collection, maintenance, processing and use of your location data and queries to provide and improve such products and services.

4. Services and Third Party Materials.
A. General. The Visual SEO Studio Software may enable access to third party services and web sites (collectively and individually, "Services") but the Author has no control on those Services and does not guarantee their availability and, in no case, the Author could be deemed liable for damages/inconveniences/problems suffered by the User that use and/or access to Services and/or download the Visual SEO Studio Software from websites other than the Author’s one. 
B. You understand that by using any of the Services, you may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that the results of any search or entering of a particular URL may automatically and unintentionally generate links or references to objectionable material.
Nevertheless, you agree to use the Services at your sole risk and that the Author shall have no liability to you for content that may be found to be offensive, indecent, or objectionable. 
C. Certain Services may display, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party web sites. By using the Services, you acknowledge and agree that the Author is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third Party Materials or web sites. The Author, its officers, affiliates and subsidiaries do not warrant or endorse and do not assume and will not have any liability or responsibility to you or any other person for any Third Party Services, Third Party Materials or web sites, or for any other materials, products, or services of Third Parties, and for any damage that any Third Party service and/or material may cause. Third Party Materials and links to other web sites are provided solely as a convenience to you.
D. To the extent that you upload any content through the use of the Services, you represent that you own all rights in, or have authorization or are otherwise legally permitted to upload, such content and that such content does not violate any terms of service applicable to the Services. 
You agree that the Services contain proprietary content, information and material that is owned by the Author, the site owner and/or their licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright, and that you will not use such proprietary content, information or materials in any way whatsoever except for permitted use of the Services or in any manner that is inconsistent with the terms of this License or that infringes any intellectual property rights of a third party or the Author. No portion of the Services may be reproduced in any form or by any means. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services, in any manner, and you shall not exploit the Services in any unauthorized way whatsoever, including but not limited to, using the Services to transmit any computer viruses, worms, trojan horses or other malware, or by trespass or burdening network capacity. You further agree not to use the Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party, and that the Author is not in any way responsible for any such use by you, nor for any harassing, threatening, defamatory, offensive, infringing or illegal messages or transmissions that you may receive as a result of using any of the Services.
E. In addition, Services and Third Party Materials that may be accessed, linked to or displayed through the Visual SEO Studio Software are not available in all languages or in all countries. The Author makes no representation that such Services and Third Party Materials are appropriate or available for use in any particular location. To the extent you choose to use or access such Services or Third Party Materials, you do so at your own initiative and are responsible for compliance with any applicable laws, including but not limited to applicable local laws and privacy and data collection laws. The Author and its licensors reserve the right to change, suspend, remove, or disable access to any Services at any time without notice. In no event will the Author be liable for the removal of or disabling of access to any such Services. The Author may also impose limits on the use of or access to certain Services, in any case and without notice or liability.
The license can be revoked by the Author in any moment at its sole discretion for privacy or security issues.   
The Author has the faculty to change the End User License Agreement at any time, without previous warning. 


5. Termination. This License is effective until terminated. Your rights under this License will terminate automatically or otherwise cease to be effective without notice from the Author if you fail to comply with any term(s) of this License. Upon the termination of this License, you shall cease all use of the Visual SEO Studio Software and destroy all copies, full or partial, of the Visual SEO Studio Software. Sections 3,4,5,6,7,8,9 of this License shall survive any such termination.

6. Disclaimer of Warranties.
A. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, USE OF THE VISUAL SEO STUDIO SOFTWARE AND ANY SERVICES PERFORMED BY OR ACCESSED THROUGH THE VISUAL SEO STUDIO SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.
B. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VISUAL SEO STUDIO SOFTWARE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND THE AUTHOR AND THE AUTHORS’ LICENSORS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE VISUAL SEO STUDIO SOFTWARE AND SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
C. THE AUTHOR DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE VISUAL SEO STUDIO SOFTWARE AND SERVICES, THAT THE FUNCTIONS CONTAINED IN, OR SERVICES PERFORMED OR PROVIDED BY, THEVISUAL SEO STUDIO SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE VISUAL SEO STUDIO SOFTWARE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY SERVICES WILL CONTINUE TO BE MADE AVAILABLE, THAT THE VISUAL SEO STUDIO SOFTWARE OR SERVICES WILL BE COMPATIBLE OR WORK WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS OR THIRD PARTY SERVICES, OR THAT DEFECTS IN THE VISUAL SEO STUDIO SOFTWARE OR SERVICES WILL BE CORRECTED. INSTALLATION OF THIS VISUAL SEO STUDIO SOFTWARE MAY AFFECT THE USABILITY OF THIRD PARTY SOFTWARE, APPLICATIONS OR THIRD PARTY SERVICES.
D. YOU FURTHER ACKNOWLEDGE THAT THE VISUAL SEO STUDIO SOFTWARE AND SERVICES ARE NOT INTENDED OR SUITABLE FOR USE IN SITUATIONS OR ENVIRONMENTS WHERE THE FAILURE OR TIME DELAYS OF, OR ERRORS OR INACCURACIES IN THE CONTENT OF, DATA OR INFORMATION PROVIDED BY THE VISUAL SEO STUDIO SOFTWARE OR SERVICES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, LIFE SUPPORT OR WEAPONS SYSTEMS.
E. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE AUTHOR OR AN AUTHORIZED REPRESENTATIVE OF THE AUTHOR SHALL CREATE A WARRANTY. SHOULD THE VISUAL SEO STUDIO SOFTWARE OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. 

7. Limitation of Liability. 
A.TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR PERSONAL INJURY, OR ANY DIRECT, INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION TO, DAMAGES FOR LOSS OF PROFITS, CORRUPTION OR LOSS OF DATA, FAILURE TO TRANSMIT OR RECEIVE ANY DATA OR INFORMATION, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE VISUAL SEO STUDIO SOFTWARE OR SERVICES OR ANY THIRD PARTY SOFTWARE OR APPLICATIONS IN CONJUNCTION WITH THE VISUAL SEO STUDIO SOFTWARE OR SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. 
B. You also agree that you will not use the Visual SEO Studio Software for any purposes prohibited by any law.
C. The AUTHOR is in no case responsible or liable for the availability of the SERVER, nor for any third parties service used.

8. Controlling Law and Severability. 
A. This License will be governed by and construed in accordance with Italian laws, excluding its conflict of law principles. This License shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.
B. By the express will of both Parties, all disputes that may arise between the Parties, in any way connected to this End-User License Agreement and/or in any way related to its(their) interpretation and/or execution and/or validity and/or effectiveness and/or to the use of Visual SEO Studio Software, shall be under the exclusive jurisdiction of the Italian Courts with exclusive territorial competence of the Court of Genoa (Italy), waiving by consensus every other jurisdiction and territorial competence and excluding all alternative and/or competing Courts. 

9. Complete Agreement; Governing Language. This License constitutes the entire agreement between you and the Author relating to the use of the Visual SEO Studio Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by the Author. Any translation of this License is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of this License shall govern.
